ORGOS – Terms and Conditions

Effective Date: Feb 1, 2025

These Terms and Conditions (the “Terms”) govern your access to and use of the ORGOS platform (“ORGOS,” “we,” “us,” or “our”). By accessing or using ORGOS (including during any beta or trial period), you agree to be bound by these Terms. If you do not agree, please do not use ORGOS.

1. Acceptance of Terms

1.1 Binding Agreement. By creating an account, accessing, or using the ORGOS platform, you acknowledge that you have read, understood, and agree to be bound by these Terms. 

1.2 Updates. We may update or modify these Terms from time to time. If we do, we will post the revised Terms and update the “Effective Date” above. Your continued use of ORGOS after the posting of any changes constitutes your acceptance of such changes.

2. Eligibility

2.1 You must be at least the age of majority in your jurisdiction (or have legal parental or guardian consent) to use ORGOS. By using ORGOS, you represent and warrant that you meet this requirement. 

2.2 You must have the legal authority to enter into these Terms on behalf of yourself or any entity you represent.

3. Beta Program

3.1 Beta Access. ORGOS may offer early or beta access to certain features or versions of the platform. These features are provided “as is” and “as available,” and may contain bugs, errors, or other issues. 

3.2 Feedback. If you participate in any beta program, you may be asked to provide feedback. You agree that ORGOS may use and incorporate any feedback you provide without compensation or acknowledgment.

4. Account Registration

4.1 Account Creation. To access certain features, you may be required to create an account. You agree to provide accurate, current, and complete information and to keep such information up to date.

 4.2 Account Security. You are responsible for maintaining the confidentiality of your account credentials. You must notify us immediately of any unauthorized use of your account or any other breach of security.

5. License and Usage

5.1 License Grant. Subject to these Terms, ORGOS grants you a limited, non-exclusive, non-transferable, revocable license to use the platform for your internal business operations. 

5.2 Prohibited Activities. You agree not to:

• Use ORGOS in a manner that violates any applicable law or regulation.

• Reverse engineer, disassemble, or otherwise attempt to derive the source code of ORGOS or any related technology.

• Use any automated system (e.g., robots, scrapers) to access the platform in a manner that sends more request messages than a human can reasonably produce in the same time.

6. Intellectual Property

6.1 Ownership. ORGOS and its licensors retain all rights, title, and interest (including intellectual property rights) in and to the platform, including any updates, enhancements, or derivative works.

 6.2 Trademarks. “ORGOS” and all related graphics, logos, service marks, and trade names are the property of ORGOS or its licensors. You may not use these marks without our prior written permission.

7. User Content

7.1 Responsibility. You are solely responsible for all data, information, or other materials (“User Content”) you upload to ORGOS. 

7.2 License to ORGOS. By submitting User Content, you grant ORGOS a worldwide, royalty-free, non-exclusive license to store, process, and otherwise use your User Content for the purpose of providing the platform and related services.

8. Privacy

8.1 Data Collection. We collect, use, and share data as described in our Privacy Policy. By using ORGOS, you agree to the terms of our Privacy Policy. 

8.2 Compliance. You represent and warrant that you have all necessary rights and consents to provide any personal or confidential data to ORGOS.

9. Confidentiality

9.1 Definition. “Confidential Information” includes any proprietary or confidential information disclosed by ORGOS to you, except for information that is (a) already publicly available, (b) independently developed without reference to ORGOS’s confidential information, or (c) lawfully obtained from a third party without breach of confidentiality. 

9.2 Obligation. You agree to protect ORGOS’s confidential information with at least the same degree of care you use to protect your own confidential information but in no event less than a reasonable degree of care.

10. Disclaimer of Warranties

10.1 “As Is” and “As Available.” ORGOS is provided on an “as is” and “as available” basis without any warranties of any kind, express or implied. 

10.2 No Guarantees. We do not guarantee that ORGOS will be available, secure, error-free, or will meet your requirements. We disclaim any warranties of merchantability, fitness for a particular purpose, and non-infringement to the fullest extent permitted by law.

11. Limitation of Liability

11.1 Indirect Damages. To the fullest extent permitted by law, ORGOS will not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits or revenues.

 11.2 Total Liability. In no event shall ORGOS’s total liability exceed the amount you have paid to ORGOS in the six (6) months preceding the event giving rise to the claim or USD $100, whichever is greater.

12. Indemnification

You agree to indemnify, defend, and hold harmless ORGOS, its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to your breach of these Terms or your use of ORGOS.

13. Termination

13.1 Termination by You. You may discontinue your use of ORGOS at any time by deleting your account or ceasing to access the platform. 

13.2 Termination by ORGOS. We may suspend or terminate your access to ORGOS at any time, with or without notice, for any reason, including violation of these Terms. 

13.3 Effect of Termination. Upon termination, all rights granted to you under these Terms will cease immediately. Sections related to intellectual property, warranty disclaimers, limitation of liability, and indemnification will survive termination.

14. Modifications to the Platform

We reserve the right to modify, update, or discontinue any aspect of ORGOS at any time without liability to you. We will endeavor to provide notice where reasonably possible.

15. Governing Law and Dispute Resolution

15.1 Governing Law. These Terms shall be governed by and construed in accordance with the laws of Hyderabad, Telangana, without regard to its conflict of laws principles.
15.2 Dispute Resolution. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in Hyderabad.

16. General Provisions

16.1 Entire Agreement. These Terms, together with any additional agreements or policies referenced herein (e.g., Privacy Policy), constitute the entire agreement between you and ORGOS.
16.2 Severability. If any provision of these Terms is found to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect.
16.3 Assignment. You may not assign or transfer any rights or obligations under these Terms without our prior written consent. ORGOS may freely assign these Terms.
16.4 No Waiver. Our failure to enforce any right or provision in these Terms shall not constitute a waiver of such right or provision unless acknowledged and agreed to by us in writing.
